Kenvue Poised to Finalize Kimberly-Clark Acquisition Amid Ongoing Risks

Kenvue Inc. (KVUE) is on track to merge with Kimberly-Clark Corporation (KMB) after securing shareholder approvals and completing the U.S. antitrust waiting period. The cash-and-stock deal is anticipated to close in the fourth quarter of 2026, pending foreign regulatory approvals. Kenvue shareholders will receive 0.14625 Kimberly-Clark shares and $3.50 in cash for each Kenvue share, equating to a 46% ownership stake in the combined entity post-transaction.

In Q2 2026, Kenvue reported net sales of $3.955 billion, a 3% increase year-over-year, yet adjusted earnings of 31 cents per share fell short of the Zacks Consensus Estimate of 32 cents. The company’s total debt stands at $8.5 billion with cash reserves of $1.1 billion as of June 28, 2026. Despite a 12.2% rise in first-half operating cash flow to $1.2 billion, challenges in its Self Care segment and ongoing restructuring may pose risks to the anticipated transaction benefits.
