
The Rise of Xilio Therapeutics: XLO unleashes a stock surge following the unveiling of an exclusive license deal with Gilead Sciences Inc GILD for the development and commercialization of Xilio’s Phase 1 tumor-activated IL-12 program, XTX301.
In a momentous move, Xilio Therapeutics harnesses its proprietary tumor-activation platform to construct a pipeline of groundbreaking, tumor-activated molecules, ranging from antibodies to cytokines and beyond. These innovations are crafted to amplify the therapeutic index and restrict anti-tumor function within the tumor microenvironment.
XTX301, the focal point of the deal, is presently under scrutiny in a Phase 1 dose-escalation trial aimed at patients grappling with advanced solid tumors.
René Russo, the President and Chief Executive Officer of Xilio, exclaims, “Gilead’s unwavering belief in our tumor-activated technology, juxtaposed with their profound expertise in pioneering and marketing novel immuno-oncology products, will serve as the propellant to hasten and enhance the progress of XTX301, our tumor-activated IL-12.”
Xilio is set to pocket a massive $43.5 million in initial payments, inclusive of $30.0 million in cash and a $13.5 million initial equity investment courtesy of Gilead, rendered at a premium.
Furthermore, Xilio is positioned to rake in a maximum of $604.0 million in supplemental contingent payments, spanning additional equity investments from Gilead, a transition fee, and a roster of developmental, regulatory, and sales-centric milestones.
Per the deal, Xilio may be entitled to tiered royalties ranging from high single digits to mid-teens on global net product sales each year.
Tasked with spearheading the clinical development of XTX301 through dose expansion, Xilio is all set to steer the ongoing Phase 1 clinical trial.
Post Xilio furnishing a designated clinical data trove for XTX301, Gilead retains the option to switch the baton, carrying forward the development and commercialization of XTX301, contingent upon the terms of the agreement and disbursement of a $75 million transition fee.
Pre-transition fee, Xilio stands to gain nearly $29.0 million in additional equity investments along with a development milestone payout.
Gilead projects that the transaction will result in a expected dent to its GAAP and non-GAAP 2024 EPS in the ballpark of $0.03 to $0.04.
Simultaneously, Xilio Therapeutics unveils a capital raise to the tune of $11.3 million via private placement.
The company is poised to dispense and vend 1.95 million shares at $0.64 each, coupled with pre-funded warrants for the procurement of up to a cumulative 15.6 million Xilio shares at $0.6399 per pre-funded warrant share.
In the Thick of the Battle: XLO shares skyrocket by an astounding 131.6% to $1.48, while GILD shares register a 0.64% uptick to $73.48 in the most recent peek on Thursday.
