CEO Compensation Overview

(RTTNews) – According to a recent SEC filing, Meta Platforms (META) reported that Mark Zuckerberg, the CEO, received total compensation of $27.22 million for the year ending December 31, 2024. This marks an increase from his 2023 compensation, which was $24.4 million. Notably, the ratio of Zuckerberg’s annual total compensation to the median compensation of all other employees stands at 65:1.

Breakdown of Zuckerberg’s Compensation

In 2024, Zuckerberg opted for a symbolic salary of just $1. He also chose not to participate in the company’s Bonus Plan nor did he receive any equity awards. The majority of his reported compensation comes from expenses tied to his personal security, which includes costs associated with security at his residences and during personal travel, his annual security allowance, and expenses related to the personal use of private aircraft.

Stock Pledges and Indebtedness

With the approval of the compensation, nominating, and governance committee, along with the board, Zuckerberg had previously pledged shares of Meta’s common stock to secure certain debts. Specifically, he has pledged 12,000,000 shares of Class B common stock. This represents approximately 3.5% of the total shares he beneficially owns and 0.5% of the total outstanding shares of Meta’s common stock. Additionally, these shares account for around 2.1% of the total voting power of the outstanding shares as of April 1, 2025.
