Arizona Metals (OTCQX:AZMCF) has put forth a plan to birth two new entities through the spin-out of the Sugarloaf Peak Gold Project and two recently-forged royalties affiliated with its Kay Mine Project.
Creation of New Companies
In this bold move, the company intends to germinate two nascent corporations: Sugarloaf Gold Corp. and Arizona Royalties Corp. The former will clutch shares in its wholly-owned subsidiary, while the latter will bear a 2% net smelter and a 2% NSR royalty concerning potential forthcoming mineral yield at Arizona Metals’ Kay Mine Deposit. Noteworthy is the fact that Sugarloaf bears a historical estimate of 1,500,000 ounces of gold, with room for prolific expansion.
Ownership Structure
The company has stipulated that it will uphold a 19.9% ownership in shares of Sugarloaf Gold Corp. and Arizona Royalties Corp., while the remaining shares will be disseminated to the company’s shareholders on a pro rata basis.
Retained Shareholders’ Holdings
Furthermore, the company has affirmed that there will be no alteration in shareholders’ holdings in Arizona Metals as a consequence of the spin-outs.
Financial Injections and Trading
As part of the spin-outs, Arizona Metals will infuse a modest cash injection into both Sugarloaf Gold Corp. and Arizona Royalties Corp. to cater for 12-18 months of operational capital for the newly formed entities. Despite these developments, the company’s shares will persist in trading on the Toronto Stock Exchange in Canada under the symbol “AMC” and on the OTCQX Market in the United States under the symbol “AZMCF.”
Anticipated Completion and Uncertainties
The conclusion of the spin-outs is anticipated to materialize prior to the end of Q2, 2024. However, it’s imperative to note that there is no assured assurance that Arizona Metals will proceed with either of the proposed spin-outs.
