Microsoft CEO Satya Nadella’s Record Compensation

Satya Nadella’s total compensation for fiscal 2025 has reached a record $96.5 million, marking a 22% increase from $79.1 million the previous year. This pay package is significant as it highlights the strong performance of Microsoft and the crucial role of artificial intelligence (AI) and cloud services, particularly Azure, in the company’s future. Azure revenue grew 34% year-over-year, contributing to nearly $169 billion in cloud revenue overall.

The compensation structure reveals that over 95% of Nadella’s compensation is performance-based, heavily tied to Microsoft’s stock performance and long-term growth metrics. His base salary is $2.5 million, with $9.5 million in cash bonuses and approximately $84 million in stock awards, emphasizing that his financial success is linked directly to the company’s performance.

Investors view this alignment as a positive signal, suggesting Nadella’s incentives are aligned with shareholder interests, particularly in the rapidly evolving sectors of AI and cloud computing. The CEO-to-median-employee pay ratio stands at nearly 480-to-1 as of 2025.
