American Resources Corporation (AREC), through its subsidiary Electrified Materials Corporation (EMCO), announced a binding Letter of Intent to acquire 100% of Blackion LLC for approximately $13.2 million in stock. The acquisition values EMCO at a $275 million pre-money valuation, with payments structured as 50% at closing, 25% after 12 months, and 25% after 24 months, contingent on strategic goals.
This deal is expected to enhance EMCO’s capabilities in lithium-ion battery lifecycle management and critical materials solutions. Blackion specializes in feedstock origination, reverse logistics, and material recovery, thereby strengthening EMCO’s supply chain expertise for battery materials.
The acquisition aligns with EMCO’s goal to accelerate commercialization and integrate its operations with ReElement Technologies for advanced mineral refining.
